YLA - Terms and Conditions

Preamble 
The website www.yla-metal.com is published by Eurotech FZCO located in Dubai, UAE ("YLA"). YLA is the designer and manufacturer of the products presented on this website.
Agreement to Terms 
By placing an order on the Website, the Customer agrees to these Terms and Conditions ("Terms"), the Purchase Order, and Order Confirmation, which constitute the sales contract between the Customer and YLA. If you do not agree with these Terms, please do not place an order. YLA reserves the right to modify these Terms at any time, with changes applying to orders placed thereafter.
Article 1 - Definitions  
  • "Terms": This document outlining the relationship between YLA and the Customer.
  • "Order": A Customer's purchase order for one or more Products.
  • "Website": The website www.yla-metal.com.
  • "Product": A product offered for sale on the Website.
  • "Customer": An individual purchasing Products for personal use, accepting these Terms.
Article 2 - Purpose  
These Terms define the rights and obligations of YLA and the Customer regarding the sale of Products through the Website. Use of the Website and ordering imply acceptance of these Terms.
Article 3 - Account Creation and Guest Checkout
Checkout Options: Customers may place an order either by creating an account or by using the guest checkout option. In both cases, Customers must provide accurate and complete information, including full name, email address, phone number, and delivery address, in order to complete the purchase.
Account Benefits: Creating an account allows Customers to access their order history, track current orders, and save preferences for future purchases.
Customer Responsibility: Customers are responsible for ensuring the accuracy of all information provided, whether ordering as a guest or via an account. Any false or incomplete information may result in order cancellation or delays. Customers with an account are responsible for maintaining the confidentiality of their login credentials and are liable for all activities conducted under their account.
Article 4 - Order Terms  
Placing Orders: Customers may place orders either by logging into an existing account or by using the guest checkout option. In both cases, Customers must provide accurate and complete information, including their name, email address, phone number, and delivery address. It is the Customer’s responsibility to verify the accuracy of all order details before finalizing the purchase.
Order Confirmation: Upon successful completion of the order process, the Customer will receive an email confirmation summarizing the order details. The sale is considered finalized once payment has been processed and the confirmation has been sent.
Product Availability: If a Product becomes unavailable after an order is placed, YLA will promptly inform the Customer and offer either a full refund or the option to select an alternative Product of equal value.
Order Refusal and Cancellation: YLA reserves the right to refuse or cancel any order at its sole discretion, even after order confirmation and payment. Reasons may include, but are not limited to, payment issues, suspected fraud, delivery complications, system errors, or unusual or suspicious ordering behavior. In such cases, the Customer will be notified without delay, and a full refund will be issued to the original method of payment.
Article 5 - Pricing and Payment   
Prices: Product prices on the Website are displayed in AED for customers located in the UAE, and in USD for international visitors.
  • For UAE customers: prices are inclusive of shipping, VAT, and import/customs duties. The total price displayed at checkout is the final amount due.
  • For international customers: prices shown on the Website are indicative only and do not include shipping costs, import duties, or taxes. Since the checkout function is not enabled for orders outside the UAE, international Customers must contact YLA at hello@yla-metal.com to receive a personalized quotation. The final price, including delivery costs and applicable duties/taxes, will be communicated on a case-by-case basis via email.
Additional Fees: Upon Additional charges may apply after checkout or quotation in the following cases:
  • Special delivery requirements (e.g., Sunday delivery, stair carry, crane access, etc.)
  • Missed or rescheduled deliveries due to Customer unavailability
  • Insufficient delivery details, permits, or access restrictions not communicated in advance
These charges will be communicated to the Customer before being applied.
Payment Methods: Full payment is required at the time the order is finalized (either at checkout or upon confirmation of quotation). We accept major credit and debit cards. Orders will not be processed or shipped until payment has been successfully completed.
Secure Payment: The Website uses SSL encryption to protect sensitive data related to payment methods. YLA is not responsible for any unauthorized access to Customer data unless due to negligence. 
Ownership: Products remain YLA's property until full payment is received. YLA reserves the right to withhold delivery if payment issues arise.  
Article 6 - Delivery    
Delivery Locations: YLA currently delivers only within the UAE. Customers in other countries may contact us at hello@yla-metal.com to explore potential delivery options.
Estimated Delivery Time: The estimated delivery time for orders within the UAE is up to eight (8) weeks. If delivery is delayed beyond three (3) months, the Customer has the right to cancel the order and receive a full refund, unless otherwise agreed. If a delay is anticipated,
YLA will notify the Customer before the end of the estimated delivery period, offering the choice between a full refund or acceptance of the revised delivery schedule.
YLA is not responsible for delays caused by customs clearance or circumstances beyond its control, including severe weather, natural disasters, customs delays, transportation disruptions, or other unforeseen logistical challenges.
Notification for UAE Deliveries: Once the items are ready, the Carrier will contact the Customer directly to schedule a convenient delivery date and time, based on the Customer’s availability and access conditions.
Delivery Scheduling: Deliveries can be scheduled from Monday to Saturday. If delivery is required on a Sunday or public holiday, additional charges will apply and will be borne by the Customer.
Delivery to Room of Choice: All products are delivered fully assembled and placed in the room of the Customer’s choice, provided that access is safe and feasible. The Carrier is not responsible for dismantling furniture or modifying doorways, elevators, or staircases to enable entry. It is the Customer’s responsibility to ensure accessibility (see "Customer Responsibilities for Delivery").
Single Delivery Address: Each order can be delivered to only one address. If delivery to multiple addresses is requested, each will incur separate delivery fees.
Debris Collection: The Carrier will collect all packaging and debris at the time of delivery. Debris collection after the delivery date is not included.
Risk Transfer: Risk of loss transfers to the Customer upon delivery — defined as the moment the Customer or a third party designated by the Customer signs the delivery confirmation.
Missed Deliveries: If the Customer is unavailable at the scheduled delivery time, the Carrier may leave a notice with instructions to reschedule. Additional fees for storage, handling, or redelivery due to the Customer's absence will be the Customer’s responsibility. If the product is not collected within the Carrier’s deadline, it may be returned to YLA, with associated shipping costs borne by the Customer.
Customer Responsibilities for Delivery: The Customer is responsible for securing all necessary building permits or approvals for the delivery. This includes booking parking bays, complying with timing restrictions, and ensuring furniture dimensions are compatible with access routes. All items arrive fully assembled and cannot be dismantled. YLA is not liable for delivery issues arising from non-compliance with these responsibilities. Any related additional charges will be borne by the Customer.
Liability for Loss or Damage During Shipment: If any items are lost or damaged during shipment, YLA will replace and reship them at no cost to the Customer. However, YLA is not liable for delays that may result from replacement shipments.
Inspection at Delivery: Upon delivery, the Customer and the Carrier will inspect the goods together. The Customer is required to sign a confirmation that the items were received in good condition.
If any item is incorrect or defective, the Customer must refer to the return procedure outlined in Article 7 – Returns and Cancellations.
Delivery status updates will be sent via email throughout the shipping process.
Article 7 - Returns and Cancellations
Return Policy: Returns are accepted only if:
  • The product is visibly damaged upon delivery, or
  • The wrong item was delivered
Return Eligibility: Returns can only be initiated at the time of delivery inspection. The Customer and the Carrier will inspect the items together, and the Customer must report any issues immediately.
Immediate Return: If the item is clearly incorrect or visibly defective, the issue must be documented with photographs while the Carrier is present. In such cases, the Carrier will retrieve the item immediately.
Uncertain Cases: If the defect is not obvious or uncertain, the Customer must still raise the concern during delivery and provide photographic evidence. The item will remain with the Customer while YLA evaluates the claim. A decision regarding approval or rejection will be communicated within a few business days. If approved, the Carrier will be scheduled to collect the item.
Replacement & Refund: If the return is approved, the Customer may choose either a replacement or a refund. Replacement shipments will follow the same delivery timeframe as the original order.
Refunds: Refunds will be processed within 14 days of receiving the returned product and will be issued to the original payment method.
Order Cancellations: Orders cannot be cancelled once placed. The standard return policy applies if the product is incorrect or defective upon delivery.
Article 8 - Warranty     
LA Limited Product Warranty: YLA guarantees its metal furniture products are free from defects in material and workmanship for five (5) years from the date of delivery.
Coverage:
  • Manufacturing defects in materials or workmanship. 
  • Structural integrity issues such as warping or bending under normal use.
Exclusions: 
  • Improper use or incorrect handling of the product, including the application of unsuitable cleaning agents or chemicals.
  • Failure to comply with the product’s care and maintenance instructions.
  • Exposure to unsuitable environmental conditions (extreme climate, humidity, chemicals, or direct sunlight).
  • Unauthorized repairs, alterations, or modifications. 
  • Normal wear and tear, including minor scratches, discoloration, or superficial damage from everyday use.
  • Damage caused by accidents, misuse, or neglect.
  • Issues related to cushions or other non-metal components, which are not covered under this warranty.
Warranty Claim Process: Customers must provide proof of purchase, a Certificate of Authenticity, photographs of the defect, and a detailed description of the issue. Contact customercare@yla-metal.com to initiate the claim.
Remedies: If a product is found defective under this warranty, YLA will repair, replace, or refund at its discretion.
Article 9 - Product Use     
Usage Guidelines: Customers must follow the manufacturer's instructions for use and maintenance. Misuse or failure to adhere to care instructions voids the warranty.
Proper Handling: YLA is not liable for damages resulting from improper use or unauthorized modifications.
Article 10 - Liability      
Product Misuse: YLA is not liable for any damage resulting from misuse, failure to follow instructions, or unauthorized repairs.
Website Use: YLA is not liable for any damages arising from the use of the Website unless due to negligence.
Force Majeure: YLA is not liable for failure to perform due to causes beyond its control, such as natural disasters, war, pandemics, or supply chain disruptions.
Article 11 - Data Protection and Privacy (GDPR Compliance)
Data Collection and Usage: YLA collects personal data necessary for order processing and customer service. Data is used to fulfil orders, improve customer service, and, if consented to, for marketing communications.
Data Security: YLA employs SSL encryption and security measures to protect personal data. While we take reasonable steps to secure your information, we cannot guarantee the security of data transmitted online.
Customer Rights: In compliance with the General Data Protection Regulation (GDPR), customers have the right to access, rectify, and erase their personal data. Requests can be made by contacting customer service at customercare@yla-metal.com.
Cookies: The Website uses cookies to enhance user experience. Customers can opt-out of cookies through browser settings.
Third-Party Services: YLA is not responsible for the privacy practices or content of third-party services.
Article 12 - Termination       
Termination by Customer: Customers may terminate their account at any time by contacting customer service. Termination does not affect any rights or obligations accrued before termination.
Termination by YLA: YLA may suspend or terminate a Customer’s account for a breach of these Terms or suspected fraudulent activity.
Article 13 - Intellectual Property
Ownership: All content on the Website is the property of YLA and protected by intellectual property laws.
Trademarks: YLA's trademarks may not be used without permission.
Limited License: Customers are granted a limited license to use the Website for personal use.
User-Generated Content: Customers grant YLA a license to use any content submitted to the Website.
Article 14 - Disputes and Governing Law
Governing Law: These Terms are governed by the laws of the United Arab Emirates without regard to its conflict of law principles. For customers based in countries with different legal requirements, local consumer protection laws may provide additional rights.
Dispute Resolution:
  • Negotiation: In the event of any dispute, parties agree to resolve it through negotiation within 30 days of notice.
  • Mediation: If unresolved, either party may request mediation.
  • Arbitration: Any dispute arising out of or in connection with these Terms that cannot be resolved through negotiation or mediation shall be finally resolved by binding arbitration administered by the Dubai International Arbitration Centre (DIAC) in accordance with its rules. The arbitration will be conducted in Dubai, UAE, in the English language. The arbitrator's decision shall be final and binding, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction.
  • Class Action Waiver: Customers agree to resolve disputes on an individual basis and not as a plaintiff or class member in any purported class, collective, or representative action.
  • Limitation Period: Any claim or cause of action arising out of or related to the use of the Website, or these Terms must be filed within one (1) year after such claim or cause of action arose, or it shall be forever barred.
Exceptions: YLA reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent or stop any unauthorized use of its intellectual property or other violations of these Terms.
Article 15 - Miscellaneous 
Severability: If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable, and the remainder of the Terms shall remain in full force and effect.
Waiver: No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term, and YLA's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
Entire Agreement: These Terms constitute the entire agreement between the Customer and YLA regarding the use of the Website and supersede all prior agreements and understandings, whether written or oral.
Amendments: YLA reserves the right to modify or update these Terms at any time. Customers will be notified of any material changes, and continued use of the Website following any changes constitutes acceptance of the new Terms.
Force Majeure: YLA shall not be liable for any failure to perform its obligations where such failure results from any cause beyond its reasonable control, including but not limited to acts of God, war, terrorism, strikes, supply shortages, and other events of force majeure.
Regulatory Compliance
  • Country of Domicile
    YLA (operated by Eurotech FZCO) is a company registered in the United Arab Emirates. The UAE is our country of domicile, and these terms are governed by the laws of the UAE.
  • Sanctioned Countries
    We do not trade with or provide any services to individuals and companies owned or controlled by, or acting on behalf of, OFAC-sanctioned countries in accordance with UAE law.
  • Minors Policy
    Users under the age of 18 are not permitted to register or transact on this website.
  • Cardholder Responsibility
    Customers are advised to retain a copy of their transaction records, as well as our policies and terms.
  • Ownership Disclosure
    This website is owned and operated by Eurotech FZCO, as per the trade license issued in the United Arab Emirates.
  • Credit/Debit Card Security
    We do not store, share, rent, or sell credit/debit card details or personally identifiable information with any third parties.
    We do not pass any debit/credit card information to external parties.
  • Data Privacy and Online Security
    We take appropriate security measures to protect your data and ensure privacy across our systems. However, www.yla-metal.com cannot guarantee the security of data disclosed online and disclaims liability for third-party sites linked from our platform.
    Customers are encouraged to review the privacy practices of external sites before sharing personal data.
  • Payment Confirmation
    Customers will receive an email confirmation within a few minutes of successful payment. If you do not receive confirmation, please contact our customer care team at customercare@yla-metal.com.
  • Delivery Acknowledgment
    Customers must retain a copy of the signed delivery receipt confirming item inspection and acceptance at the time of delivery.
